3) PSL Scout's role and limitations
PSL Scout operates as a marketplace facilitator and payment intermediary, connecting Buyers and Sellers of Seat Licenses and managing the transaction process. PSL Scout is not a party to the underlying Seat License agreement between Buyer and Seller, and is not the seller of any Seat License listed on the Platform. PSL Scout is not a licensed escrow company or financial institution; its role is limited to facilitating transactions and holding Buyer funds in trust pending Transaction Completion.
PSL Scout provides the following services:
-
Connecting Buyers and Sellers through the Platform
-
Holding Buyer funds in escrow pending Transaction Completion
-
Coordinating the transfer paperwork and process with the applicable Team
-
Verifying Seat License authenticity, seat location, and party identity
-
Facilitating the associated season ticket purchase when applicable
PSL Scout does not guarantee that any particular transaction will be completed, nor does it guarantee the conduct of any Buyer or Seller beyond the obligations set forth in these Terms. PSL Scout may, in its sole discretion, refuse service to any User or cancel any listing or transaction at any time.
4) User accounts and registration
4.1) Registration
You must register for an account and provide accurate, complete information as a condition of using the Platform's transactional features. You may not register using a false name or false information. You are responsible for all activity that occurs under your account.
4.2) Account security
You are responsible for maintaining the security of your username and password. You must notify PSL Scout immediately of any unauthorized use of your account. PSL Scout is not liable for any loss resulting from unauthorized account access caused by your failure to maintain security.
4.3) Eligibility
You must be at least 18 years of age and capable of entering into legally binding contracts to use the Platform. By registering, you represent and warrant that you meet these requirements.
5) Transaction process
5.1) Listing a Seat License (Sellers)
Registered Sellers may list Seat Licenses for sale on the Platform, subject to PSL Scout's discretion. By listing a Seat License, Seller represents and warrants that they have full legal authority to transfer the Seat License to a Buyer (subject only to required Team consent). Sellers may remove a listing at any time prior to Binding Acceptance.
5.2) Submitting an Offer (Buyers)
Registered Buyers may submit binding Offers or purchase at a fixed Buy Now price listed on the Platform. Offers and Counter-Offers may be exchanged between Buyer and Seller until one party accepts, declines, or the Offer expires. An Offer not acted upon within 72 hours is deemed expired and no longer binding.
5.3) Binding acceptance
BINDING ACCEPTANCE OCCURS WHEN EITHER PARTY ACCEPTS AN OFFER OR COUNTER-OFFER THROUGH THE PLATFORM INTERFACE. UPON BINDING ACCEPTANCE, BUYER AND SELLER ARE EACH OBLIGATED TO COMPLETE THE TRANSACTION AND TO USE REASONABLE BEST EFFORTS TO ACHIEVE TRANSACTION COMPLETION. Buy Now purchases result in automatic Binding Acceptance.
5.4) Ticket and parking agreement
After Binding Acceptance, Buyer and Seller shall agree on the terms of any associated season tickets, single game tickets, and parking passes related to the Seat License. PSL Scout will coordinate this process. Both parties are deemed to have confirmed the agreed terms if either party fails to respond within the time requested by PSL Scout.
5.5) Buyer payment
After Binding Acceptance, PSL Scout will issue payment instructions to the Buyer. Buyer shall submit the Final Sales Price plus the Buyer's Transfer Fee to PSL Scout within 7 business days of receiving such instructions. Buyer funds will be held in escrow by PSL Scout until Transaction Completion or termination of the transaction.
5.6) Transfer instructions and cooperation
Upon receipt of Buyer's full payment, PSL Scout will provide transfer instructions to both parties. Buyer and Seller each agree to:
-
Cooperate fully with PSL Scout, the other party, and the Team to complete the transfer
-
Execute and deliver all required documents within 10 calendar days of receiving transfer instructions
-
Participate in any calls or communications requested by PSL Scout
5.7) Transfer periods and restrictions
Seat License transfers may be subject to Transfer Periods and/or Transfer Restrictions imposed by the applicable Team. PSL Scout has no control over Team-imposed Transfer Periods or Restrictions. If a transaction cannot close during the current Transfer Period, Buyer's funds will remain in escrow until the next Transfer Period; provided, however, that if Transaction Completion has not occurred within twelve (12) months of the date Buyer's payment was received by PSL Scout, Buyer may request a full refund of all escrowed funds by written notice to PSL Scout. Any extension of the escrow period beyond twelve (12) months requires Buyer's prior written consent. Transfer Restrictions (e.g., past-due account balances, transfer limits) must be resolved by Seller before Transaction Completion can occur.
5.8) Verification of transfer
Both Buyer and Seller are responsible for reviewing all transfer documentation to ensure accuracy. PSL Scout acts solely as a transaction facilitator and is not liable for incomplete or incorrect information provided by either party. If either party discovers errors before Transaction Completion, they must promptly notify PSL Scout and work in good faith to resolve them.
5.9) Transaction completion
Transaction Completion occurs when PSL Scout receives confirmation from the Buyer and/or the Team that the Seat License transfer has been fully executed. PSL Scout's determination of Transaction Completion is final.
5.10) Seller payment
Within 7 business days after Transaction Completion, PSL Scout will pay Seller the Final Sales Price minus the Seller's Transfer Fee. Payment will be made to the registered account holder who created the listing on the Platform at the time of Binding Acceptance.
5.11) No transactions outside the Platform
So long as a Seat License is listed on the Platform, and for any transaction that has reached Binding Acceptance, Seller may not complete the transaction with a Buyer who was identified through the Platform outside of the Platform without paying PSL Scout the applicable Transfer Fees.
6) Fees
Buyer's Transfer Fee: The greater of 10% of the Final Sales Price or $250.00 USD (for Syndicated Listings) or $100.00 USD (for Native Listings), payable by Buyer to PSL Scout at the time of payment.
Seller's Transfer Fee: The greater of 10% of the Final Sales Price or $250.00 USD (for Syndicated Listings) or $100.00 USD (for Native Listings), deducted by PSL Scout from Seller's proceeds at Transaction Completion.
PSL Scout reserves the right to modify its fee structure at any time by updating these Terms. The fees in effect at the time of Binding Acceptance shall govern the applicable transaction.
7) PSL Scout guarantees
7.1) Seller guarantee
PSL Scout guarantees that, after Transaction Completion, Seller will receive the Final Sales Price minus the Seller's Transfer Fee.
7.2) Buyer guarantee
PSL Scout guarantees that, if Buyer's payment is received and Transaction Completion does not occur for any reason other than Buyer's own fault or breach, Buyer will receive a full refund of their payment.
7.3) Guarantee limitations
THE GUARANTEES IN THIS SECTION DO NOT APPLY TO: (a) any loss or modification of the Seat License after Transaction Completion; (b) any dispute concerning the purchase of season tickets, parking passes, playoff tickets, or other event tickets; or (c) any situation where PSL Scout has suspended payments pending an investigation. The Guarantees represent PSL Scout's maximum liability to Buyer or Seller under these Terms.
8) Transaction termination
A transaction may be terminated only as set forth in this Section. Upon termination, all escrow funds will be returned to Buyer and the transaction will be unwound, subject to any applicable fees.
8.1) Termination by Buyer or Seller
Either party may request termination in the following circumstances:
-
If a Binding Ticket Agreement is not reached within 4 calendar days of Binding Acceptance
-
If Buyer fails to timely confirm receipt of payment instructions (Seller may terminate)
-
If Buyer fails to submit timely payment (Seller may terminate)
-
If either party fails to deliver required transfer documents within 10 calendar days (the other party may terminate)
8.2) No termination after transaction completion
Neither Buyer nor Seller has any right of termination or rejection after Transaction Completion has occurred. PSL Scout has no obligation to assist either party in correcting errors discovered after Transaction Completion. Notwithstanding the foregoing, if Buyer discovers a material misrepresentation in the listing description (including incorrect seat location, section, or row) within five (5) business days of Transaction Completion, Buyer may submit a written dispute to PSL Scout. PSL Scout will review the dispute in good faith and, if the misrepresentation is substantiated, may facilitate a resolution between the parties. Any unresolved dispute arising from this Section shall be subject to binding arbitration under Section 14. This limited dispute right does not apply to subjective listing features, amenities, or any condition disclosed prior to Binding Acceptance.
8.3) Termination by PSL Scout
PSL Scout may, in its sole discretion, terminate any transaction at any time before Transaction Completion for reasons including misconduct, breach, fraud, or to protect the integrity of the Platform.
9) User conduct and prohibited activities
By using the Platform, you agree that you will not:
-

All content, trademarks, logos, software, data, and other intellectual property on the Platform are the exclusive property of PSL Scout Corp or its licensors. These Terms do not grant you any rights to PSL Scout's intellectual property except the limited license to access and use the Platform in accordance with these Terms. EXCEPT AS EXPRESSLY PROVIDED IN SECTION 7, THE PLATFORM AND ALL SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND. PSL SCOUT EXPRESSLY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.
PSL SCOUT DOES NOT WARRANT: (a) THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE; (b) THAT ANY BUYER OR SELLER WILL PERFORM AS PROMISED; (c) THE ACCURACY OR COMPLETENESS OF ANY LISTING OR SEAT LICENSE DESCRIPTION PROVIDED BY A SELLER; OR (d) THAT ANY PARTICULAR TRANSACTION WILL BE COMPLETED.
SEAT LICENSE DESCRIPTIONS, FEATURES, AND AMENITIES ARE PROVIDED SOLELY BY SELLERS AND HAVE NOT BEEN INDEPENDENTLY VERIFIED BY PSL SCOUT. BUYERS ARE RESPONSIBLE FOR CONDUCTING THEIR OWN DUE DILIGENCE.
12) Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PSL SCOUT SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING LOST PROFITS, LOSS OF DATA, OR LOSS OF GOODWILL, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS, THE PLATFORM, OR ANY TRANSACTION, EVEN IF PSL SCOUT HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
PSL SCOUT'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY AND ALL CLAIMS ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR THE PLATFORM SHALL NOT EXCEED THE AMOUNTS DESCRIBED IN THE GUARANTEES SET FORTH IN SECTION 7.
Some jurisdictions do not allow the exclusion or limitation of certain damages, so the above limitations may not apply to you in full.
13) Indemnification
You agree to indemnify, defend, and hold harmless PSL Scout Corp and its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the Platform; (b) your breach of these Terms; (c) any transaction you enter into through the Platform; or (d) any taxes of any kind, including sales, income, or ad valorem taxes, due in connection with any purchase or sale of a Seat License.
14) Dispute resolution and arbitration
A) Governing law
These Terms and any dispute arising out of or relating to these Terms or the Services shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of laws rules.
B) Binding arbitration
ANY DISPUTE, CLAIM, OR CONTROVERSY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES — INCLUDING THE DETERMINATION OF THE SCOPE OR APPLICABILITY OF THIS ARBITRATION AGREEMENT — SHALL BE RESOLVED BY BINDING INDIVIDUAL ARBITRATION AND NOT IN COURT, EXCEPT AS PROVIDED IN SECTION 14C.
The arbitration shall be administered by a recognized arbitration provider (such as AAA or JAMS) under its then-applicable rules. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.
C) Small claims exception
Either party may bring an individual action in small claims court if the claim qualifies and remains in small claims court jurisdiction.
D) Class action waiver
YOU AND PSL SCOUT EACH WAIVE ANY RIGHT TO PARTICIPATE IN OR BRING A CLASS ACTION, CLASS ARBITRATION, CONSOLIDATED PROCEEDING, OR ANY OTHER REPRESENTATIVE ACTION. ALL CLAIMS MUST BE BROUGHT ON AN INDIVIDUAL BASIS. This waiver is a material term of these Terms, and any dispute as to its enforceability shall itself be resolved by the arbitrator.
E) Jury trial waiver
TO THE EXTENT ANY CLAIM PROCEEDS IN COURT (E.G., SMALL CLAIMS), YOU AND PSL SCOUT EACH WAIVE ANY RIGHT TO A JURY TRIAL.
15) General provisions
A) Entire agreement
These Terms, together with PSL Scout's Privacy Policy, constitute the entire agreement between you and PSL Scout with respect to the Platform and supersede all prior agreements and understandings, whether written or oral.
B) Amendments
PSL Scout may update these Terms at any time by posting the revised version on the Platform. The revised Terms are effective upon posting for new transactions and upon continued use for ongoing transactions.
C) Independent contractors
You and PSL Scout are independent contractors. Nothing in these Terms creates any relationship of agency, partnership, joint venture, employment, or franchise between you and PSL Scout.
D) Severability
If any provision of these Terms is held invalid or unenforceable, the remaining provisions will continue in full force and effect.
E) No waiver
PSL Scout's failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
F) Assignment
You may not assign or transfer any of your rights or obligations under these Terms without PSL Scout's prior written consent. PSL Scout may assign its rights freely.

You agree to comply with all applicable local, state, federal, and international laws and regulations in connection with your use of the Platform.
